1.1. YouSayToo.com Terms of Use (hereafter - Terms of Use) are meant for and binding upon each YouSayToo.com user, irrespective of whether the user is an Author, registered user or not. Terms of Use are binding for any usage of YouSayToo.com (and any usage of the YouSayToo.com is interpreted as an acceptance of these Terms of Use.
1.2. The activity of the YouSayToo.com website is organized, administrated and coordinated by SIA 'Net Management', (hereafter referred to as YouSayToo Team).
1.3. Terms of Use may be changed. It is User's responsibility to check the Terms of Use for any updates. User's continued use of YouSayToo.com will be interpreted as an acceptance of most current version of Terms of Use.
1.4. YouSayToo Team reserves the right to delete User's account, change password, delete User's YouSayToo Blog or Added Blogs from YouSayToo.com in whole or in part, or to discontinue User's access to YouSayToo.com and all its services, if YouSayToo Team suspects that User is violating Terms of Use or acts in the way that doesn't fit the spirit of the site or for any other reason. YouSayToo Team is not obliged to explain its decision.
1.5. YouSayToo Team makes no warranty that the service will be uninterrupted, timely, secure, or error-free, or that the quality of any products, services, information, or other material purchased or obtained by Users through the service will meet User's expectations, or that any errors in the software will be corrected.
2.1. User - any person who uses YouSayToo.com as registered user or not and/or as Author.
2.2. Author - user who has created or added blog(s) to YouSayToo.com.
2.3. YouSayToo Blog - content (text, games, pictures, videos, buzzers) which is created or placed by Author at YouSayToo.com.
2.4. Added Blog - blog which the User added to YouSayToo.com
2.5. Buzzer - online discussion.
2.6. Rating - Rating system to determine the quality of a Blog and used in programming the YouSayToo.com.
2.7. Services - all services, provided by YouSayToo.com and via YouSayToo Team.
YouSayToo.com makes available a collection of resources for Users, creation or posting blogs and hosting services for Users.
Based on the Rating System all low quality content created or placed by Author will be automatically removed.
3.1. User must be at least 18 years old on the date when registration is completed.
3.2. User must indicate his real e-mail and other necessary information.
3.3. By providing another person's e-mail address to YouSayToo.com, a User confirms that the respective person consents to storing his e-mail at the YouSayToo.com according to the Personal Data Protection Law.
3.4. User may have only one account. If a User creates more than one account, then they may be deleted.
3.5. Several persons may not be registered as one User.
3.6. YouSayToo.com prohibits creation of 'fake' accounts, i.e. accounts where a User provides invalid data. Upon establishing the existence of such accounts, YouSayToo Team has the right to immediately and without warning delete the 'fake' account.
3.7. User and/or Author is responsible for any and all activities occurring or content that is posted under User's account
3.8. It is up to the User to maintain the confidentiality of password and account. If the User becomes aware of any unauthorized use of User's account, or any other breach of security, the User must immediately contact the YouSayToo Team at
. In this case YouSayToo Team has the right to give the User a new password.
3.9. YouSayToo Team is not liable for any loss or damage arising from the User's failure to comply with the provisions of these Terms.
4.1. User must create and/or add blogs with high quality content. User is solely responsible for all content in User's YouSayToo blog.
4.2. User can add his own blog only if it has full RSS/Atom Feed, 3 or more entries and a valid backlink. If Blog hasn't full RSS/Atom Feed and/or a valid backlink or it has less than 3 entries than the blog can't be added. If the User's deviates from these requirements after adding a blog then the content from his added blog will stop being imported into his YouSayToo blog. The added blog will be marked as inactive and eventually removed from YouSayToo.com
4.3. The content of an added blog must follow the same rules as all content on user's YouSayToo blog. (See 5.1 thru 5.7)
4.4. User may only upload free flash games from sites which allow downloading and embedding their flash games
4.5. YouSayToo.com prohibits the Users from clicking through the ads placed on YouSayToo.com many times with ill intent, as well as from trying to persuade other Users.
4.6. User agrees to receive certain communications from YouSayToo Team (incl. YouSayToo.com newsletters, service announcements, administrative messages). If User doesn't want to receive such communications he/she can edit setting in his/her account.
4.7. Actions of User can't interfere with or disrupt normal run of servers or networks connected to YouSayToo.com, or disobey any requirements, procedures, policies or regulations of networks connected to YouSayToo.com.
4.8. YouSayToo.com reserves the right to change the Rating algorithm at any time.
4.9. Users must comply strictly with any law regulations.
4.10. Non-English blogs do not appear on new, top 24 etc. pages. They can only be viewed on the User's YouSayToo blog.
4.11. User must not impersonate other Users or any official of YouSayToo.com.
5.1. User can't make any actions which could be seen as spam (redirecting traffic from Blog to other pages, introducing viruses to the site, spamming bloggers, e-mail spam to other Users or others etc.).
5.2. YouSayToo.com prohibits the Users from clicking through the ads placed on YouSayToo.com many times with ill intent, as well as from trying to persuade other Users.
5.3. User can't use YouSayToo.com for gathering or using another User's e-mail. It is forbidden to collect personal identifiable information about users and sell or transfer that information.
5.4. Use any automatic or manual process to harvest email addresses or other information from YouSayToo.com is forbidden.
5.5. It is prohibited for the Users of YouSayToo.com to conduct illegal activities or inactions using the website's functionality. Both criminal and administrative offenses are deemed illegal activities.
5.6. User's are forbidden to threaten, offend, harass or intimidate other users.
5.7. The following restrictions are set for User's YouSayToo Blog, links and its contents, incl. (but not limited to) text, images, buzzer, games and videos:
- Posting content for which User does not have the necessary rights is prohibited, including content which either affects or violates the intellectual property rights (copyright etc.) or rights of confidentiality of third persons;
- Content which affects a person's dignity, esteem, race, ethnic and/or sex and/or sexual equality, or which could be considered religious or racist propaganda or is defamatory, vulgar, obscene, invasive of privacy or provides instructional information about illegal activities, or promotes any act of cruelty to animals or people is forbidden;
- Overly promotional content including excessive linking (banners) to any website or domain is prohibited.
- Use copyrighted content without owner's permission is prohibited;
- Duplicating content and copy/pasting is prohibited;
- Content must not violate User's local laws and laws of Republic of Latvia (In case of contravention Laws of the Republic of Latvia overrule all other countries' laws.);
- Pornographic and erotic content is forbidden;
- Content which encourages or advertises usage of weapons, narcotics, alcohol and cigarettes is prohibited;
- Content which is impolite, offensive, vulgar, abusive or otherwise inflammatory is forbidden;
- Content which promotes acts of violence or other illegal activities, or which rouses hatred between the users and other kinds of hatred is forbidden;
- Content which promotes gambling or links to sites that promote/offer gambling for money is forbidden;
- Content established in order to harm or modify the operation (safety) of the YouSayToo.com database, design, electronic communications software is forbidden;
- Content which has the features of surrogate mail (junk mail, spam, chain letter) or unauthorized advertising is forbidden;
- Content or links to any worms or viruses or any code of a destructive nature are forbidden;
- Links that are not related to topic or theme of Blog are forbidden;
- Content or links which could remove, decompile, disassemble or reverse engineer any software or data base or use any network monitoring or discovery software to determine the Website architecture of YouSayToo.com is forbidden;
- Content which could attack providing services of YouSayToo.com is forbidden.
- Content promoting online shops and affiliate programs is prohibited.
- Added Blogs which require additional actions to view them (completing a survey or logging in etc.,) are forbidden
6. PRIVACY AND COPYRIGHT
6.1. Software and information used by YouSayToo.com in connection with the Services contains proprietary and confidential information and it is property of YouSayToo Team and is protected by intellectual property and other laws.
6.2. YouSayToo Team reserves the right at any time to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice, without liability to User or any third party.
6.3. Users are not liable to modify, rent, lease, loan, sell, distribute or create derivative works based on the service or the software of YouSayToo.com, in whole or in part.
6.4. The content, organization, graphics, design, compilation, translation, digital conversion and other matters related to YouSayToo.com is property of YouSayToo Team and are protected under applicable copyrights, trademarks and other proprietary rights. The copying, redistribution, use or publication by User of any such matters or any part of the YouSayToo.com, except if it is clearly permitted, is strictly prohibited.
6.5. Author is fully responsible for all content that is used in his YouSayToo Blog. YouSayToo Team doesn't have ownership of the published content and only provides hosting services.
6.6. If any licenses or permissions for using or publishing this content are needed than Author is fully responsible for getting these licenses or permissions.
6.7. With creation or adding Blogs on YouSayToo.com the User gives rights to YouSayToo Team to display, distribute, promote, reproduce, display, modify, adapt and publish the content of Blog in part or in whole.
6.8. YouSayToo Team has the right to delete content if there are any suspicions of violation of the Terms of Use, or violations of legal rights of third parties or if a third party has informed the YouSayToo Team about possible violations.
6.9. YouSayToo Team isn't responsible for the accuracy, integrity or quality of User's content
6.10. YouSayToo Team can't take responsibility for anything that other users may do in reliance on the content from Users' YouSayToo Blogs.
6.11. If User's YouSayToo Blog has any links to others websites, YouSayToo Team isn't responsible for content of these websites. Only User who placed link is solely responsible for content of this website.
6.12. YouSayToo.com will not make public or sell or give to third parties any information that User hasn't made public (information given to YouSayToo.com by registration (name, surname, e-mail, address, Google Adsense ID etc.)). Exception is case of request of court or other competent authorities.
7. REVENUES
Revenues from Blogging
7.1. Users can get ad impressions by entering an affiliate IDs for each third party account (Ex. Google AdSense, Amazon etc.) into his account (revenues settings) on YouSayToo.com. Immediately after the User has inputted his/her affiliate IDs, he/she is entitled to receive ad impressions.
7.2. YouSayToo.com will rotate the User's third party affiliate IDs into 50% of the ad impressions on User's YouSayToo Blog. This means 50% of ads in User's YouSayToo Blog are displayed with User's third party affiliate IDs and 50% with YouSayToo's third party affiliate IDs.
7.3. YouSayToo.com will share ad impressions with services which IDs the User provided. If the User did not provide any third party affiliate IDs then all ads are displayed with YouSayToo's third party affiliate IDs. (. If the User did not provide a Google AdSense ID but provided Amazon affiliate Id then all Google AdSense ads will be displayed with YouSayToo's Google AdSense ID and Amazon ads will rotate 50/50.)
7.4. YouSayToo Team reserves the right to change the percentages or details of ad impressions. Also YouSayToo.com reserves the right to start or to discharge cooperation with any third party ad revenue sharing service (Google Adsense, Amazon etc.)
7.5. YouSayToo Team reserves the right to stop or start sharing ad impressions with Users using certain third party ad revenue services.
7.6. There are additional terms imposed by the third parties (Google Adsense, etc.) with whom User chooses to do business. User must uphold these additional terms and conditions.
7.7. YouSayToo Team may ban user's third parties affiliate IDs:
- If the User has violated or otherwise breached YouSayToo's or Third Party's Terms of Use;
- If the Provided third Party Affiliate ID is closed or any information presented by registration isn't correct or don't conform to these or Third Party's Terms of Use;
7.8. YouSayToo.com does not track revenues associated with such third party accounts.
7.9. By using the Impression services, the User acknowledges and agrees that YouSayToo Team will not be responsible for, and will not be obligated in any manner to repay the User for any lost earnings.
7.10. YouSayToo Team does not conduct any financial operations with Users. All money transfers for the advertisements are handled by the third party ad revenue sharing services with which the User agrees to do business with. YouSayToo Team does not bear any responsibility for the activities of the third party ad revenue sharing services.
7.11. YouSayToo Team does not bear any responsibility and does not guarantee that the advertisements placed by third party ad revenue sharing services will be displayed continuously, without interruption or damage.
Additional impressions from referred users
7.12. Users can get additional Google AdSense impressions for referring others.
7.13. If the first level referred user generates content (becomes Author) then the referrer will get Additional 15% of Google AdSense impressions from the amount of first level referred user's Google AdSense impressions.
7.14. If a first level referred user (who was referred by the original user) in turn refers another user, (second level referral) who generates content (becomes Author), then the original user will get additional 10% of Google AdSense impressions from the second level referral's amount of ad impressions.
*Additional Google AdSense impressions which users get for referring others are not taken into account when calculating the number of additional Google Adsense impressions users should get for referring others.
Causes and Donations
7.15. YouSayToo.com offers Users, who do not want to receive revenues from blogging or referring Authors to donate Google AdSense ad impressions to one of the charity organizations.
7.16. YouSayToo.com assigns special AdSense Channels IDs to every charity organization. YouSayToo.com donates collected revenues from Adsense Channel assigned to charity organizations.
7.17. All Google AdSense ads which could belong to the user are replaced with the chosen cause's Google AdSense channel.
7.18. YouSayToo.com will transfer donations every year no later than February 28, after receiving collected revenues from Adsense Channels assigned for charity organizations but not less then $500 for single cause.
7.19. YouSayToo.com reserves the right to stop donating to any charity organization, if the total amount of donations to a concrete charity organization doesn't exceed $500 on the last donation transfer day (February 28). In this case YouSayToo.com has rights to dispose with accumulated donations by its own discretion.
7.20. YouSayToo.com reserves the right to stop all donations and change/remove existing cause and add new ones at any time without notice.
8. DISCLAIMER
User understands and agrees that:
- User's use of the service is at his sole risk.
- The website and service may contain bugs, errors, problems or other limitations.
- YouSayToo Team makes no warranty that the service will be uninterrupted, timely, secure, or error-free, or that the quality of any products, services, information, or other material purchased or obtained by you through the service will meet Users expectations, or that any errors in the software will be corrected.
9. INDEMNIFICATION
A User of YouSayToo.com must do everything possible in order to ensure the protection of the legal interests of YouSayToo Team against all claims or complaints by third parties filled against YouSayToo Team and associated in any way with the use of the website by the relevant User.
User agree to indemnify all loss, and expense, including legal costs, attorney's fees related to your violation of these Terms or use of the Website.
10. LIMITATION OF LIABILITY
User agrees that YouSayToo Team will not be liable for any damages, loss of profits, goodwill or other losses (even if advised of the possibility of such damages), resulting from:
- the use or inability to use YouSayToo's services;
- unauthorized access to or alteration of your transmissions or data;
- access to YouSayToo.com also will not be liable for any loss or damage arising from User's failure to comply with the provisions of these Terms;
- statements or conduct of any third party on the services, or any other matter relating to the services.
YouSayToo Team also will not be liable for any loss or damage arising from User's failure to comply with the provisions of these Terms of Use.
11. PRIVACY POLICY
Information We Collect
We collect the following information:
- All data the user provides in his/her account and data which was requested by the YouSayToo Team;
- When you surf YouSayToo.com and use its Service, we may collect and store Cookies and your IP address.
YouSayToo Team will not make public or sell or give to third parties any information that User hasn't made public (information given to YouSayToo.com by registering an account or YouSayToo Team's request (name, surname, e-mail, address, bank account number, PayPal e-mail etc. (from here Personally Identifiable Information.)). Exception in case of request of court or other competent authorities.
Any data the user made public in his YouSayToo Blog, bio, added blog, comments, username etc., becomes public information and is not protected as "Personally Identifiable Information."
Cookies and IP addresses are regarded as Non-Personally Identifiable Information because the User can't be identified using this information.
Use of Information
YouSayToo Team may use your Personally Identifiable Information for administrative purposes.
YouSayToo Team may provide Non-Personally Identifiable Information to our subsidiaries, affiliated, marketing companies, or others.
YouSayToo Team may use all collected data to defend against any third-party claims and/or allegations, to assist government enforcement agencies, to protect the security or integrity of our Service, and to protect the rights, property, or personal safety of YouSayToo Team, our Users or others.
Data Security
YouSayToo Team can't guarantee the security of any information that is being transmitted over the Internet or stored on our servers. As a result, user provide such information at their own risk.
12. COPYRIGHT INFRINGEMENT
- If your content has been copied in a way that constitutes copyright infringement, please contact the YouSayToo Team at
Contact Us form and provide the following information:
- A description of the copyrighted work ;
- Provide the User's Username who infringed your copyright or url of his/her profile.
- An url where the copyright infringing content is is located on YouSayToo.com and the original source;
- A statement by User that User has a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
- A statement by User made under penalty of perjury, that the above information in User's Notice is accurate and that User is the copyright owner or authorized to act on the copyright owner's behalf.
13. DISPUTE RESOLUTION
If a dispute arises the User should first try to resolve it by contacting the YouSayToo Team using the
contact form, describing the problem in detail and steps how to resolve it.
The Parties shall resolve any disputes and conditions not stipulated in the Terms of Use by means of negotiations. Should no agreement be resolved through negotiation, arguments arising between the Parties shall be resolved at court in the manner prescribed in the applicable legislation of the Republic of Latvia, by lodging a complaint to a competent court institution at the Republic of Latvia according to the Company's legal office.
